Terms of Service

Effective September 9, 2026

These terms are an agreement between you and Blue Shark Entertainment LLC, which operates the Cordelia service under the name Cordelia Enterprises. By creating an account, opening a Cordelia link, or otherwise using Cordelia, you agree to these terms.

1. The service

Cordelia lets a person create a list of Experiences they would genuinely enjoy and share it with the people who want to give one. A person who creates a list is a Creator. A person invited to help create or co-own a list is a Co-Creator. A person who gives an Experience is a Giver. Cordelia provides the platform; it does not itself supply, operate, schedule, or guarantee any Experience.

2. Accounts

You must be at least 13 years old to use Cordelia. A person aged 13 to 17 may prepare a Cordelia, but it stays private and cannot be published or shared until a verified adult accepts responsibility for it. You agree to give accurate information, to keep control of the email account and phone number you use to sign in, and to tell us promptly if you believe someone else has reached your account. You are responsible for activity that takes place through your account.

3. Your content

You keep ownership of the names, photographs, descriptions, and messages you add to Cordelia. You grant Blue Shark Entertainment LLC a non-exclusive, worldwide, royalty-free licence to store, display, and transmit that content for the purpose of operating the service, including showing it on the Cordelia pages you choose to share. You confirm that you have the right to use everything you upload, including photographs of other people, and that your content does not infringe anyone's rights.

4. Sharing and links

Each published Cordelia has a permanent web address. Anyone who has that address can see the page, so share it only with people you want to see it. You choose the display name shown publicly and the private contact detail people can use to confirm the link is genuine. Cordelia does not send invitations on your behalf; you send them yourself.

5. Acceptable use

You agree not to:

  • Use Cordelia for anything unlawful, deceptive, harassing, or harmful.
  • Impersonate another person or misrepresent who a Cordelia is for.
  • Upload content that is obscene, hateful, or infringing.
  • Attempt to reach accounts, records, or private contact details that are not yours.
  • Probe, scan, overload, or interfere with the service or its providers.
  • Scrape or republish Cordelia pages or contact information in bulk.

We may suspend or remove an account or a Cordelia that breaks these rules or that presents a risk to other people using the service.

6. Gifts and amounts

A Giver chooses an Experience and enters the amount they wish to give. An amount given is not shown publicly or to other Givers; it is visible to the authorized Creator and Co-Creators of that Cordelia, to the person receiving the gift, to Cordelia administrators, and in payment and payout records. Cordelia discloses any platform or processing fee before a gift is completed. Cordelia is not a bank, an escrow service, or an insurer, and it does not hold funds as a fiduciary.

Payment processing on Cordelia is not yet active. No charge is made and no gift is treated as paid until payments are switched on and a payment is confirmed by the payment processor. When payments become active, additional payment and payout terms will apply and will be presented before any charge is made.

7. Experiences are provided by third parties

Experiences listed in a Cordelia are ideas chosen by the Creator. Any class, trip, event, treatment, ticket, or service is provided by an independent business under that business's own terms, pricing, and availability. Cordelia does not guarantee that an Experience will be available, suitable, or safe, and is not responsible for how a third party performs.

8. Cancellation and deletion

You may delete an unpublished draft at any time. A Creator may unpublish or delete a Cordelia they own, which makes its public page unavailable. You may ask us to close your account by writing to the support address below. Some records are kept after deletion where the law, tax rules, accounting, or fraud prevention require it.

9. Availability and changes

We work to keep Cordelia available, but the service is provided as it is, without a promise of uninterrupted or error-free operation. We may add, change, or withdraw features. If we make a material change to these terms, we update the effective date and notify account holders by email before the change takes effect. Continuing to use Cordelia after that means you accept the new terms.

10. Disclaimers and limits

To the fullest extent permitted by law, Blue Shark Entertainment LLC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost opportunities. Our total liability arising out of or relating to the service is limited to the greater of the amount of fees you paid to Cordelia in the twelve months before the claim, or one hundred United States dollars. Some jurisdictions do not allow certain limits, in which case those limits apply only as far as the law permits.

11. Indemnity

You agree to indemnify and hold harmless Blue Shark Entertainment LLC and its officers, members, and staff from claims, losses, and reasonable legal costs arising out of the content you provide, your use of Cordelia, or your breach of these terms.

12. Governing law and disputes

These terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. You and Blue Shark Entertainment LLC agree to try in good faith to resolve any dispute by writing to each other first. Any dispute that is not resolved that way will be brought in the state or federal courts located in Florida, and you and we consent to the jurisdiction of those courts. Nothing here prevents either party from seeking relief in a small-claims court where that is available.

13. General

These terms, together with the Privacy Policy, are the entire agreement between you and Blue Shark Entertainment LLC about Cordelia. If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours in connection with a sale or reorganization of the business.
